Terms of Service

Article 1 : Purpose

These Terms of Service (“Terms”) set out the rights, obligations, responsibilities, and procedures between HERE UP LLC (“Company,” “we,” “us,” or “our”), and customers (“Members” or “you”) who use the Medibook application or website (“Medibook” or the “Service”).

Article 2 : Definitions

  1. Participating Institutions: Medical institutions, medical professionals, and related companies that register information or services on Medibook.

  2. Member: A user who creates an account and uses the Service in accordance with these Terms.

  3. Customer: A user who uses Medibook to access medical services, excluding Korean citizens.

  4. Country: The nationality of the Member, as selected during registration.

  5. Service: All online platform services provided by Medibook, including hospital, hotel, vehicle reservations, and concierge assistance. The Company acts only as an intermediary and does not itself provide medical, accommodation, or transportation services.

  6. Post: Any content uploaded by Members, including text, photos, videos, files, and links.

  7. Points: Virtual credits provided by the Company, subject to policies and may change over time.

Article 3 : Changes to the Terms

  1. The Company may amend these Terms where permitted by law.

  2. If we make material changes, we will notify Members in advance, typically at least thirty (30) days before the changes take effect, unless a shorter period is required or reasonable (for example, due to legal, regulatory, or security reasons).

  3. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

  4. If you do not agree to the revised Terms, you may discontinue use of the Service and close your account at any time.

Article 4 : Supplementary Provisions and Governing Laws

  1. Where not covered by these Terms, applicable laws and Company policies apply.

  2. In case of conflict, specific policies or agreements may take precedence.

Article 5 : Formation of Agreement

  1. Agreement is formed when you register and we approve your application.

  2. Registration is completed once we notify you or display confirmation.

Article 6 : Restrictions on Membership

  1. We may refuse or terminate membership if false information is provided, if the applicant is underage without consent, or for other reasons such as fraud, improper use, or security risks.

  2. Identity verification may be required.

Article 7 : Use by Minors

  1. Minors require parental or legal guardian consent.

  2. Children under 14 are not permitted to use the Service.

Article 8 : Member Information

  1. Members must keep their contact details up-to-date.

  2. Members are responsible for any issues caused by failing to update information.

Article 9 : Notices to Members

  1. Notices may be sent via email, SMS, or posted on the Service.

  2. Notices are deemed received once sent.

Article 10 : Notices to the Company

Members may contact us via email at medibook.media@gmail.com or through “Customer Service.”

Article 11 : Account Security

  1. Members are responsible for maintaining account credentials.

  2. Any actions taken under a valid ID/password are considered the Member’s responsibility.

  3. Notify us immediately if you suspect unauthorized use.

Article 12 : Privacy and Data

  1. We process personal data in accordance with applicable data protection laws (including GDPR, PIPL, etc.) and our Privacy Policy.

  2. Linked third-party services are subject to their own privacy policies.

Article 13 : Services Provided

  1. Medibook provides information and reservation services for medical institutions and related services.

  2. Services may change, be added, or withdrawn over time.

  3. We act solely as an intermediary platform.

Article 14 : Service Suspension

  1. We may suspend or discontinue the Service for maintenance, technical reasons, or force majeure.

  2. We are not liable for service interruptions, except in cases of willful misconduct or gross negligence.

Article 15 : Member Obligations

  1. Members must not:

  2. Provide false or unauthorized information,

  3. Infringe intellectual property,

  4. Post illegal, harmful, or abusive content,

  5. Use automated tools (bots, scrapers, etc.) without consent,

  6. Engage in unauthorized commercial activity,

  7. Impersonate others or misrepresent affiliation,

  8. Provide or appear to provide medical advice.

  9. Violations may result in suspension, deletion of content, or termination.

Article 16 : Service Restrictions

  1. We may restrict or terminate use for violations of these Terms or applicable laws.

  2. Members may appeal suspensions under Company procedures.
     

Article 17 : Points

  1. Points are benefits granted under our policies and have no monetary value unless explicitly stated.

  2. Points may expire or be forfeited upon withdrawal or misconduct.

Article 18 : Responsibility of Participating Institutions

  1. Medibook is not a party to medical agreements between Members and institutions.

  2. Institutions are solely responsible for outcomes, quality, safety, and refunds.

  3. We do not guarantee qualifications or capabilities of institutions.

Article 19 : Warranties and Representations

  1. The Service and all content are provided “as is,” “as available,” and with all faults. To the maximum extent permitted by law, we disclaim all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, diligent effort, accuracy, and non-infringement.

  2. While we take reasonable technical, physical, and organizational measures to protect the Service, we do not guarantee that it will be uninterrupted, error-free, secure, or free of viruses or other harmful components, to the maximum extent permitted by law.

  3. To the maximum extent permitted by law, we are not responsible for any agreements or arrangements you make with participating institutions, medical professionals, or other third parties. Any claims arising from those relationships are your sole responsibility.

  4. To the maximum extent permitted by law, we do not guarantee that Medibook will help you find a suitable medical professional or institution. You understand that all risks related to the use of the Service are yours alone.

  5. To the maximum extent permitted by law, our liability is limited as described in Article 20.

Article 20 : Disclaimer and Limitation of Liability

  1. To the maximum extent permitted by law, we are not responsible for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use the Service.

  2. To the maximum extent permitted by law, we are not responsible for damages caused by:

  3. (a) unauthorized access to or alteration of your data or transmissions;

  4. (b) the conduct or statements of any third party using the Service;

  5. (c) any other matter relating to the Service.

  6. To the maximum extent permitted by law, we disclaim all liability for acts, omissions, or negligence of institutions, medical professionals, or partners. We do not provide medical services ourselves.

  7. To the maximum extent permitted by law, we are not responsible for delays or failures beyond our reasonable control, including natural disasters, government actions, labor disputes, internet or network failures, or other force majeure events.

  8. To the maximum extent permitted by applicable law, the Company’s total liability for any claim arising out of or relating to the Service shall not exceed the lesser of (i) one hundred U.S. dollars (USD $100), or (ii) the total amount of fees paid by you to the Company for the specific booking that gave rise to the claim.

Article 21 : Copyright Ownership and Usage Restrictions

  1. Members may not use Company or institution content for commercial purposes without consent.

  2. Copyright in Member posts remains with the Member, but Members grant the Company a license to use, reproduce, distribute, and display posts for Service and promotional purposes.

Article 22–23 : Management of Posts

  1. Members are responsible for their posts.

  2. Posts may be hidden, deleted, or modified if they infringe rights, laws, or policies.

  3. Abusive, false, or paid/fake reviews are prohibited.

Article 24 : Intellectual Property

  1. All rights in Medibook content (text, software, designs, trademarks, etc.) are owned by the Company.

  2. Members receive only a limited, personal, non-transferable license to use the Service.

Article 25 : Indemnification

  1. Members must indemnify the Company for damages caused by their violation of these Terms.

  2. Company liability applies only in cases of willful misconduct or gross negligence.

Article 26 : Country-Specific Services

  1. Service availability may differ by country.

  2. In case of conflicts, mandatory local consumer protection laws prevail only to the extent of the conflict.

Article 27 : Miscellaneous

  1. These Terms are the entire agreement between you and Medibook.

  2. Invalid provisions will not affect the rest of the Terms.

  3. We may transfer our contractual rights in the event of merger, acquisition, or restructuring with notice.

Article 27-bis : Class Action Waiver

  1. To the maximum extent permitted by law, disputes must be brought in an individual capacity, not as a class action.

  2. No joint arbitration or consolidated proceedings unless all parties consent.

  3. If unenforceable in a jurisdiction, the remainder of these Terms continues in effect

Article 28 : Governing Law and Dispute Resolution

  1. Good Faith Negotiation: Parties will first attempt to resolve disputes amicably.

  2. Governing Law: Delaware law applies, except where mandatory consumer laws of the Member’s country override.

  3. Jurisdiction: Local courts may apply if required by mandatory law. Otherwise, Delaware courts have exclusive jurisdiction.

  4. Arbitration Option: By agreement, disputes may alternatively be resolved by binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC), the International Chamber of Commerce (ICC), or another internationally recognized arbitration body mutually agreed by the parties. The default seat of arbitration is Singapore, and the language shall be English.

  5. Language: These Terms are drafted in English. In case of conflict, the English version prevails.

Supplementary Provisions

  1. Effective date: September 1, 2025.

  2. These Terms are provided in summary form for your convenience and ease of understanding.
    For the complete and legally binding Terms of Service, please review the [Full Version here].
    In the event of any inconsistency between this summary and the Full Version, the Full Version shall control.
